Terms of Service
These terms govern your use of the SimpleDirect® website, the Vinci web app, the Vinci mobile apps for iOS and Android, Vinci Desktop for macOS (beta), the Vinci Platform (our developer console), our developer API, and related services. By using them, you agree to these terms, our Privacy Policy, and our Acceptable Use Policy. Vinci and Vinci Pro are recurring monthly subscriptions, billed through Stripe, with $50 and $250 of included usage respectively. The included monthly allowance expires at the end of each billing period and does not carry over. Purchased credit does not expire and is available in any amount with a $10 minimum. Vinci Free users may earn up to $35 in promotional signup credit through actions; each credit expires 60 days after it is earned, and no card is required.

By accessing or using the Services, you agree to these terms, our Privacy Policy, and our Acceptable Use Policy, and you acknowledge our AI Output Disclaimer. If you don't agree, please don't use the Services.
2. Accounts and who can use it
You must be at least 18 years old and able to form a binding contract; if you use the Services for an organization, you confirm you're authorized to bind it. Some features require an account: keep your information accurate, keep your credentials secure, use one account per person, and you're responsible for activity under it. We may suspend or terminate accounts that break these terms.
3. The service
We provide an AI assistant (Vinci) and related tools across our website, the Vinci web and mobile apps, Vinci Desktop for macOS (beta), the Vinci Platform, and an OpenAI-compatible developer API. Vinci Desktop uses your existing Vinci account and billing. Its projects remain in folders on your Mac, where it reads files you select and writes ordinary files; prompts, relevant context, and user-attached content are processed through our hosted inference gateway under zero data retention. Local browser, terminal, and computer-control preview actions require your explicit approval, computer-control preview requires macOS Accessibility permission, and updates are signed. Vinci ($20/month with $50 of included usage) and Vinci Pro ($100/month with $250 included) are recurring monthly subscriptions billed through Stripe. Included monthly usage expires at the end of each billing period and does not carry over; separately purchased credit, available in any amount with a $10 minimum, does not expire. Vinci Free users may earn up to $35 in promotional signup credit through actions; each credit expires 60 days after it is earned, and no card is required. Developer API keys are available through the Vinci Platform but are not required to use Vinci apps. The Services are provided "as is," with no service-level guarantee.
4. Acceptable use
Your use must follow our Acceptable Use Policy, which prohibits illegal, harmful, and abusive uses across the web app, the mobile apps, the Vinci Platform, and the API. We don't monitor your conversations; we act on reports and our legal obligations, and may suspend or terminate access for violations.
5. Your content
You keep ownership of the inputs you provide. As between you and us, the outputs Vinci generates for you are yours to use, subject to these terms and applicable law. By default the Services run on zero data retention, and we don't use your conversations to train our models unless you explicitly opt in. You're responsible for your inputs and for how you use outputs.
6. Our intellectual property
The SimpleDirect® and Vinci™ names and logos, the website, the app, and their design are owned by us and protected by trademark and copyright. These terms don't grant you rights to our brands. SimpleDirect® is a registered trademark in the United States and Canada; Vinci and the Vinci logo are trademarks of Alpine Pacific Trading Inc.
7. Open-weight models
Our open-weight models are released separately under their own open-source licence (for example, Apache 2.0), which travels with the model files on our repositories and model hub — not under these terms. Your use of the weights is governed by that licence.
8. Outputs
Outputs are generated by an AI model and may be inaccurate, incomplete, or offensive. We make no warranty about outputs. Don't rely on them as a substitute for professional advice — see our AI Output Disclaimer.
9. AI limitations
The Services use generative AI, which can make mistakes and produce confident-sounding but wrong information — whether you use the web app, the mobile apps, or the API. It is not a professional and does not provide medical, legal, financial, or other professional advice. You are responsible for verifying anything important before relying on it.
10. Disclaimer of warranties
The service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
11. Limitation of liability
To the fullest extent permitted by law, we aren't liable for indirect, incidental, special, or consequential damages, or for lost data or profits, and our total liability for any claim relating to the service won't exceed CAD $100. Nothing here limits liability that can't be limited by law, and this cap may not apply where your local consumer-protection law (such as Quebec's) provides otherwise.
12. Indemnity
You agree to indemnify and hold us harmless from claims arising out of your misuse of the service or your violation of these terms or applicable law.
13. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules.
14. Who you're contracting with
The service is provided by Alpine Pacific Trading Inc., operating as SimpleDirect®, Toronto, Ontario, Canada.
15. Changes to these terms
We may update these terms. We'll post changes here with a new date and keep prior versions; material changes get advance notice through the app or website.

1. Agreement
These Terms of Service form a binding agreement between you and Alpine Pacific Trading Inc., operating as SimpleDirect® ("we", "us"), governing your use of our website, the Vinci web app, the Vinci mobile apps for iOS and Android, Vinci Desktop for macOS (beta), the Vinci Platform (our developer console at platform.getsimpledirect.com), our OpenAI-compatible developer API, and related services (the "Services"). By accessing or using the Services you accept these Terms, our Privacy Policy, and our Acceptable Use Policy.
2. Eligibility
You must be at least 18 years old and able to form a binding contract. If you use the Services for an organization, you represent that you are authorized to bind it to these Terms. If we learn that a user is under 18, we may suspend or terminate the account.
3. The Services
We provide an AI assistant (Vinci) and related tools through our website, the Vinci web and mobile apps, Vinci Desktop for macOS (beta), the Vinci Platform, and an OpenAI-compatible developer API. Vinci Desktop uses the same Vinci account and billing as our other apps. Desktop projects live in folders on your Mac: the app reads files you select and writes its work back as ordinary files. Prompts, relevant context, and content you explicitly attach are sent through SimpleDirect's hosted inference gateway under zero data retention; project files otherwise stay on your device. Browser, terminal, and computer-control preview actions run locally and require your explicit approval; computer-control preview also requires macOS Accessibility permission. Updates are signed. Vinci ($20/month with $50 of included usage) and Vinci Pro ($100/month with $250 included) are recurring monthly subscriptions billed through Stripe. Included monthly usage expires at the end of each billing period and does not carry over. Separately purchased credit, available in any amount with a $10 minimum, does not expire. Vinci Free users may earn up to $35 in promotional signup credit through actions; each credit expires 60 days after it is earned, and no card is required. Every plan includes every available model class, with no plan-based throttling, downgrading, speed difference, capability gate, or limit. Developer API keys are available through the Vinci Platform but are not required to use Vinci apps. The Services are provided "as is," without any service-level commitment. We may change pricing or plans on a going-forward basis and will provide advance notice of material changes. We may modify, add, suspend, or discontinue features, and may set reasonable service-wide usage, quota, and rate limits to keep the Services available and reliable.
4. Accounts
Some features require an account; others, such as the public demo, do not. Vinci Desktop uses the same Vinci account and billing as the web and mobile apps; no separate Desktop account is created. You agree to provide accurate information, to keep it current, and to keep your credentials and any access tokens secure. Accounts are for a single person — do not share an account or let others use yours — and you are responsible for all activity under your account. Notify us promptly of any unauthorized use. You may close your account at any time, and we may suspend or terminate an account that violates these Terms or the Acceptable Use Policy, where required by law, or to protect the Services and others.
5. API and API keys
We offer an OpenAI-compatible developer API. API keys are available for the developer Platform and are not required to use the Vinci web, mobile, or Desktop apps. You may generate API keys on the Vinci Platform (platform.getsimpledirect.com) or in the app; we store only a hashed form of each key and show the secret once, so keep it confidential and never embed it in client-side or public code. You are responsible for all activity carried out with your keys. Your use of the API must comply with these Terms and the Acceptable Use Policy and stay within any rate limits, quotas, or fair-use limits we set. Do not attempt to circumvent those limits, overload or disrupt the API, share or resell access in a way that abuses the Services, or build a competing service in violation of these Terms. You may revoke a key at any time, and we may rotate, rate-limit, or revoke keys to protect the Services.
6. Acceptable use
Your use of the Services — the website, the web and mobile apps, Vinci Desktop, the Vinci Platform, and the API — must comply with our Acceptable Use Policy, incorporated by reference. You remain responsible for local tool actions you approve in Vinci Desktop. We do not monitor your conversations; we act on reports, complaints, and our legal obligations, and may suspend or terminate access for violations.
7. Your content
You retain ownership of the inputs you provide. You grant us only the limited rights needed to operate the Services and deliver responses to you. As between you and us, outputs generated for you are yours to use, subject to these Terms and applicable law. You are responsible for your inputs and for how you use outputs. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction or obligation to you.
8. No training by default; zero data retention
By default the Services run on zero data retention: the content of your conversations is processed only to respond to you and is not stored or used to train our models. We do not use your conversations to train our models unless you explicitly opt in. Memory, sync, and any model-improvement options are separate choices, each off by default. How we handle personal information is described in our Privacy Policy.
9. Intellectual property
The Services, the SimpleDirect® and Vinci™ names and logos, and all related software and design are owned by us or our licensors and protected by law. These Terms grant you no rights in our brands. SimpleDirect® is a registered trademark in the United States and Canada; Vinci and the Vinci logo are trademarks of Alpine Pacific Trading Inc.
10. Open-weight models
Our open-weight models are released separately under their own open-source licence (for example, Apache 2.0) that accompanies the model files on our repositories and model hub, not under these Terms. Your use, modification, and distribution of the model weights are governed by that licence, not by these Terms.
11. AI outputs; no professional advice
Outputs are generated by AI and may be inaccurate, incomplete, or offensive. They are provided for general information only and are not professional, medical, legal, or financial advice. You are responsible for verifying outputs before relying on them, and for keeping a human in the loop for any consequential use. See our AI Output Disclaimer.
12. Third-party services
The Services may link to or rely on third-party services we do not control. We are not responsible for third-party content or practices, and your use of them is governed by their own terms.
13. Disclaimer of warranties
To the fullest extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding accuracy or availability.
14. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost data, profits, or goodwill. Our total liability for any claim relating to the Services will not exceed the greater of the amounts you paid us for the Services in the three months before the event giving rise to the claim, or CAD $100. This cap may not apply to you to the extent your local consumer-protection law (such as Quebec's Consumer Protection Act) provides otherwise. Nothing limits liability that cannot be limited by law.
15. Indemnification
You will indemnify and hold us harmless from claims, damages, and expenses arising out of your inputs, your use of the Services or outputs, your use of API keys, or your violation of these Terms, the Acceptable Use Policy, or applicable law.
16. Suspension and termination
You may stop using the Services or close your account at any time. Purchased credit stays usable forever, including after cancellation. The subscription's included allowance expires at the end of the billing period in which you cancel. We may suspend or terminate access, or revoke API keys, if you violate these Terms or the Acceptable Use Policy, or as needed to comply with law or protect the Services and others. Provisions that by their nature should survive termination will survive.
17. Privacy
Our handling of personal information across the website, the web and mobile apps, Vinci Desktop, the Vinci Platform, and the API is described in our Privacy Policy, which forms part of your agreement with us.
18. Changes to the Terms
We may update these Terms and will post the revised version with a new date, preserving prior versions. We will provide notice of material changes. Continued use after changes take effect constitutes acceptance.
19. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in Ontario will have jurisdiction, subject to any mandatory consumer-protection rights you have where you live.
20. General
These Terms are the entire agreement between us regarding the Services and supersede prior agreements. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. We are not liable for delays or failures caused by events beyond our reasonable control.

Software licensed to you
Where we publish the source of a client, that software is licensed to you under the licence stated in its repository, and that licence — not these Terms — governs your use, modification and redistribution of the software itself. Nothing in these Terms reduces the rights that licence grants you. Software provided under an open licence is provided on the terms of that licence, including its warranty disclaimer: it is not a hosted service, and it carries no availability undertaking and no support obligation unless we have separately agreed one with you in writing. These Terms continue to apply to the Vinci services you reach from the client — the managed gateway, your account, and billing for it.
Forks, derivatives and trademarks
A software licence grants copyright permissions. It does not grant trademark rights, and the two are separate. \u201cVinci\u201d, \u201cVinci Code\u201d, the Vinci wordmark and logos, and the \u201cSimpleDirect\u201d name and logos are trademarks of Alpine Pacific Trading Inc. Under the applicable software licence you may fork, modify, redistribute and sell the code, and you may state truthfully that your work is derived from, based on, or compatible with Vinci Code — factual references of that kind need no permission from us. You may not use our names or logos in a way that suggests endorsement, sponsorship or affiliation, and you may not name a fork or derivative \u201cVinci\u201d, \u201cVinci Code\u201d, or anything confusingly similar. A fork is not operated by us, we make no representation about it, and these Terms do not cover it.
